Reference is made to the Company’s announcements dated 4 December 2023, 7 December 2023 and 7 February 2024 in relation to the Proposed Acquisition (“Announcements"). Unless otherwise defined, the definitions used in this announcement shall have the same meaning as those defined in the Announcements.
UEM Edgenta wishes to announce that following the Initial Consideration of AED43.2 million paid to NW Kaizen for the Sale Shares upon completion, an additional payment amounting to AED14,914,841 (equivalent to RM19,219,264) (being the difference between Initial Consideration and Adjusted Consideration with Locked Box Net Profit taken into consideration) is made to NW Kaizen on 14 May 2024, subsequent to the finalization of the Adjustment Statement pursuant to Clause 3.2.3 of the SPA, and Locked Box Net Profit pursuant to Clause 3.2.5 of the SPA.
